All intellectual property rights in our methodologies, tools, frameworks, templates, and other pre-existing materials remain our exclusive property. We grant Clients a non-exclusive, non-transferable license to use such materials solely as necessary to benefit from the Services.
Upon full payment of fees, ownership of custom Deliverables created specifically for a Client under a signed agreement transfers to that Client, unless otherwise agreed in writing. We retain the right to use general knowledge, skills, and experience gained during the engagement.
All content on this Site, including text, graphics, logos, images, and software, is the property of Continental Vineyards LLC or its content suppliers and is protected by United States and international copyright laws.

Both parties agree to maintain the confidentiality of each other's Confidential Information and to use such information only for the purpose of fulfilling obligations under the applicable engagement. This obligation survives termination of the engagement for a period of five (5) years, or indefinitely for trade secrets.

Any dispute arising out of or relating to these Terms or our Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved by binding arbitration in San Luis Obispo County, California, in accordance with the rules of the American Arbitration Association.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Site with a new "Last Updated" date. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed and the remaining provisions shall continue in full force and effect.
